# RunningTab — Terms of Service (DRAFT — attorney review required before publishing)
Effective: [DATE] · Latency Labs LLC ("Latency Labs", "we")

1. **The service.** RunningTab is a Microsoft Teams application that estimates
meeting cost from a customer-configured blended rate and attendance timing, and
provides related reporting. Estimates are informational; they are not accounting,
payroll, or legal records.
2. **Accounts & plans.** Plans are licensed per Microsoft 365 tenant (Free, Team,
Business) with monthly metered-meeting allowances as published on our pricing page.
We may update plan features with notice; price changes take effect at your next
renewal.
3. **Billing.** Paid plans bill monthly or annually in advance via Stripe or the
Microsoft commercial marketplace. Cancel anytime; access continues through the
paid period; downgrade to Free is automatic and non-destructive.
4. **Acceptable use.** Don't use RunningTab to harass, discipline, or surveil
individuals; it reports aggregate cost, not individual performance. Don't reverse
engineer, resell, or misrepresent the service.
5. **Your data.** You own your settings and records. We process them per the
Privacy Policy. On termination we delete workspace data within 30 days.
6. **Availability & changes.** The service is provided "as is" with commercially
reasonable uptime efforts; we may modify features that don't materially reduce
core functionality.
7. **Liability.** To the maximum extent permitted by law, our aggregate liability
is limited to fees paid in the 12 months preceding the claim; neither party is
liable for indirect or consequential damages.
8. **Misc.** Governing law: [STATE]. Disputes: [VENUE/ARBITRATION]. These terms +
the order form are the entire agreement.
